Senior Company Secretary/ Executive Support Manager

We are looking for an experienced Executive Support Manager who will be responsible for the full scope of corporate secretariat activities in the Americas region (USA, Canada, Brazil and Cayman Islands) covering three offices (USA, Canada, Brazil) and a growing portfolio of over 400 funds and special purpose vehicles under the USA and Cayman Islands management companies. This role will see a transition of responsibilities from providing in-house corporate secretariat services to a mostly outsourced operating model through collaboration with specialized partners. We are looking to for someone who can substantially and independently lead this transition of our operating model in the US.  

Your scope of services includes:

  • You will be the sole US-based employee in an Asia and Americas regional team of 4, responsible for the Executive Support activities for 3 Americas offices (USA, Canada and Brazil) and the USA and Cayman Islands management companies, including planning meetings, distribution of board packs, preparation of minutes and board resolutions, responding to government inquiries, research and filings
  • You will also lead the transition of our operating model in the US, ultimately being responsible for overseeing the specialized executive support service providers in the Americas region where fund and/or fund management as well as special purpose vehicles are involved
  • Over time, your responsibilities will see a shift from execution of corporate secretarial tasks for the portfolio of funds, to oversight of such tasks by our outsourced service providers. You will remain responsible for the executive support activities for the Americas offices.

Your tasks will include:

  • Day-to-day company secretarial responsibility for the Americas offices and a portfolio of fund entities
  • Develop and maintain a close relationship with the board of directors in the Americas region in order to support and advise them in the smooth running of the various companies
  • Help establish and operationalize (including setting up an oversight and reporting process) a new Americas executive support service provider relationship
  • Coordinate and oversee the delivery and quality of a defined task portfolio of corporate secretarial tasks (such as preparation of filings, maintenance of statutory files and registers and so on) that will be provided by a newly established shared services team in Manila
  • Coordinate and oversee executive support matters such as execution of corporate changes, filings and meetings with both internal and external stakeholders (such as Corporate Legal, Compliance, etc.) or service providers
  • Ensuring compliance with regulatory, legal and contractual obligations
  • Some correspondence with the regulator and companies registrar in relation to filings
  • Managing and maintaining delegations of authority (signing lists and powers of attorney)
  • Assist with the incorporation of new companies in the Americas region (LLCs, limited partnerships and other type of companies)
  • Lead challenging and constructive dialogue with internal and/or external stakeholders (includes service providers) to achieve the most meaningful and optimal outcome for all
  • Supporting the Regional Head (based in Singapore) in governance matters by contributing technical knowledge in area of expertise, which may include project work, internal system enhancements or developing standard processes and procedures further for the efficient administration and governance of the firm's legal entities
What we expect
  • Well educated (preferably with bachelor's degree), with at least 10 years of relevant corporate governance experience, ideally within a law firm, asset manager or financial services company
  • A highly organized and reliable self-starter who is comfortable working independently in the US time-zone
  • Experienced in working with specialized executive support service providers
  • General working knowledge of corporate law in the United States
  • Project management experience and understanding of business entity formation, administration and liquidation would be a plus
  • Strong in international and intercultural coordination and collaboration, good inter-personal and communication skills
  • Good eye for details without losing sight of the big picture
  • A strong desire to learn and develop in a role with a dynamic task portfolio in a multi-cultural global team

  • Partners Group compensation has a long-term outlook and philosophy, and our total compensation emphasizes performance based long term incentives. Base pay range for this role is $90k – 115k and typically a significant performance-based bonus.
