We are seeking an experienced professional whose time will be dedicated to managing the company secretarial requirements of the AIFM and overseeing operations of a portfolio of SPVs. The role is based in Luxembourg and requires a highly motivated and capable professional with a deep understanding of both practical governance and investment structures within private markets.
Key Responsibilities
- Ensure the companies comply with all legal and regulatory obligations in Luxembourg, supporting the board of directors and conducting officers in their governance responsibilities for alternative funds and management companies.
- Organize and prepare director, shareholder and conducting officer meetings, including drafting board/committee minutes and shareholder/board resolutions.
- Maintain accurate and up-to-date company files and statutory records.
- Coordinate service deliverables from key internal and external providers, ensuring high standards and adherence to best practices.
- Liaise with stakeholders across multiple jurisdictions, including regulatory authorities.
- Implement and maintain governance controls.
- Independently manage a portfolio of externally administered SPV structures, overseeing their operations, governance and service provider performance.
- Resolve investment structure and operational issues without senior intervention and lead complex projects involving multiple stakeholders.
- Hold board seats on, and chair the meetings for, SPVs in complex structures alongside investment professionals external directors.
- Draft and share processes and presentations and reports with the team and the wider business.
- Set quality standards for service delivery and embed best practices within the team.
- Build and maintain strong relationships with stakeholders, ensuring effective communication and collaboration.
- Act as a strategic partner to the boards, proactively driving corporate governance excellence by advising on best practices, fostering a culture of continuous improvement, and ensuring the highest standards of governance are achieved.
- Coach and support junior team members, identifying and fostering development opportunities.
- Perform general administrative duties and support ad-hoc projects.
- Bachelor’s or university degree in Law, Business Administration, or related field; ICSA/CGO qualification is an advantage.
- Minimum of 6 years’ relevant proven experience in Luxembourg in corporate governance, company secretarial, or SPV administration and operation.
- Excellent knowledge of company law, local Luxembourg laws/regulations, and private market investment structures.
- Outstanding communication, relationship management, and organizational skills.
- Proven ability to draft minutes, resolutions, and presentations with accuracy and clarity.
- Experience coaching junior staff and leading cross-functional projects.
