Investment Fund Lawyer

For this position, we are looking for an investment fund lawyer (preferably Luxembourg qualified) for our Zug, Switzerland office (and will also accept applications for our Luxembourg office) focusing on commingled fund structures and separate accounts. Partners Group’s structuring team is responsible for developing innovative investment fund structures for institutional and private investors globally. Structuring professionals regularly interact with the firm’s client relationship management, investment and operations teams as well as with clients, external professionals and regulators. Representative projects include, for example, the design, formation and negotiation of customized separate accounts, the establishment of fund vehicles (limited partnerships and other investment funds), the review of regulatory frameworks (AIFMD, MiFID, etc.), and participation in marketing meetings.
Main Responsibilities:
- Efficiently manage complex structuring projects, including the legal, regulatory, operational and project management aspects of each project
- Draft term sheets, limited partnership agreements, private placement memoranda, subscription agreements, side letters, service and other agreements, for a variety of fund structures and associated products
- Lead the design, formation, negotiation and drafting of documentation relating to customized separate accounts for leading international, institutional investors
- Oversee marketing registrations in jurisdictions globally and coordinate advice on local marketing restrictions
- Research and develop customized fund structures such as rated note structures and securitization vehicles
- Draft and/or review documentation relating to a variety of fund structures
- Assume responsibility and ownership for select funds and separate accounts, including maintenance and related processes and procedures
- Develop set of skills and general Partners Group know-how, particularly relating to Structuring service catalogue and relevant interfaces with (operational) teams
- Research legal and regulatory considerations relevant to specific clients, products and jurisdictions, and have strong awareness of market standard for fund terms
- Instruct and manage external legal advisors and other service providers
- Qualified lawyers (preferably Luxembourg qualified) with 8+ years of relevant work experience at a top law firm, bank or asset manager (preferably focused on private markets investments)
- Experience forming and advising on Luxembourg investment funds, with a strong preference for a candidate who also has experience working with Delaware, Cayman Islands and/or Guernsey investment funds
- Experience working with and negotiating with institutional investors, including pension plans, insurance companies, sovereign wealth funds and banks
- In depth knowledge of AIFMD, MiFID and Solvency II all in relation to investment funds
- Strong English language contract drafting skills
- Experience with different fund structures, securitized vehicles and other innovative structures preferable
- Self-motivated and proactive individual with strong desire to learn and succeed
- Excellent analytical, interpersonal and project management skills together with an ability to manage multiple projects at any one time
- Ability to effectively identify and communicate on complex issues and to proactively propose coherent and comprehensive solutions to both internal and external parties
- Knowledge of fund structures for private equity, private real estate, private debt and private infrastructure which may include limited partnerships, LLCs, corporate entities, trusts, REITs, rated note funds, etc.
- Able to consider varying tax considerations in determining appropriate fund structures
- Able to manage external counsel and meet ambitious fund formation timelines
- Proficient in reviewing and signing off on legal documents for and mentoring more junior professionals
- Ability to work with a successful sales team on new fund strategies
