Company Secretary - 12 months fixed term contract

What it's about

We are looking for a candidate to join us at our Luxembourg or Zug office as Company Secretary over a period of one year to cover for a maternity leave. Due to the expected business expansion over the next year, this position has very good chances of being converted to a permanent role subject to satisfactory performance and business demand.

Key Responsibilities:

  • Own and manage the day-to-day corporate and administrative matters for a portfolio of companies and investment funds
  • Assist with incorporation, extensions and liquidation of investment funds
  • Independently and effectively handle matters related to board, committee and shareholder meetings including preparation of agendas, collation and distribution of board packs, liaising with board members, drafting minutes and following up on action items
  • Maintain accurate records and statutory registers
  • Perform regulatory and statutory filings and manage all other legal and corporate obligations over the lifecycle of the companies and investment funds
  • Keep track of and assist in implementing legal and regulatory developments into the service catalogue
  • Build and maintain strong working relationships with clients, colleagues and other business contacts
  • Support on ongoing global projects and initiatives
  • Undertake ad hoc administrative tasks where necessary

What we expect
  • University degree (preferable with a legal background) and/or relevant professional qualification or part qualification (preferably ICSA or equivalent) or significant knowledge of corporate secretary acquired through 7+ years of experience in a legal and corporate environment within the Luxembourg Fund industry
  • 5+ years of relevant experience
  • Fluent written and spoken English, any additional language is an asset
  • Excellent organizational and administrative skills
