Experienced Company Secretary

What it's about

  • Perform and oversee day-to-day corporate and administrative matters for a portfolio of companies and investment funds
  • Review the output of Company Secretaries and coach the team, imparts knowledge across teams and act as an escalation point for Company Secretaries and Company Administrators
  • Initiates, leads and completes team-related project and initiatives
  • Manage and execute corporate changes, filings and meetings with both internal and external stakeholders or service providers, proactively develops standard processes and procedures further and solves complex situations
  • Manage independently board and committee meetings drafting minutes and circular resolutions
  • Maintenance of accurate records and statutory registers for each entity, ensuring that all amendments are made in a timely manner
  • Liaising and coordinating with service providers and maintaining oversight on service providers
  • Regulatory and statutory filings and monitoring of other Luxembourg legal obligations
  • Liaising with notary offices, legal counsels, regulator and Trade Register (as applicable)
  • Building and maintaining strong working relationships with clients, colleagues and other business contacts

What we expect
  • University degree and/other relevant professional qualification (preferably Business Administration, Law or ICSA Certificate level) or significant knowledge of corporate secretarial matters acquired through 8+ years of experience in a legal and corporate/fund environment
  • 8-10 years of relevant experience
  • Fluent written and spoken English, any additional language is an asset
  • Excellent organizational and administrative skills, team player who can work independently
  • Strong organizational, analytical and prioritization skills
  • Strong interpersonal and communication skills - the ability to communicate effectively at all levels
