Senior Company Secretary/Team Leader

What it's about

As Senior Company Secretary/Team Leader, you are responsible for managing the day-to-day legal, corporate and administrative matters relating to a portfolio of companies and investment funds. Your typical day will see you working on wide range of diverse and

dynamic tasks, including: 


  • Advising our operational teams and provide legal and corporate advice to the boards of directors
  • Interacting with key stakeholders across the group and providing support on company secretarial matters
  • Ensuring the proper maintenance of legal files and statutory registers
  • Reviewing incorporation and other basic legal documentation with critical analysis
  • Organizing and actively participating in board meetings, shareholders meetings and other committee meetings
  • Drafting and reviewing board minutes and resolutions
  • Documenting and following up on action points and providing status of action plans to the relevant boards/committees
  • Managing and updating the corporate calendar and track the legal and regulatory obligations and deadlines in accordance with group policy
  • Developing and implementing/updating processes and procedures to promote and sustain good corporate governance
  • Assisting in the recruitment process and staff performance assessments
  • Leading a small of team of professionals including, but not limited to, providing appropriate training, coaching, monitoring, providing feedback and giving clear ambitious and achievable targets to the team
  • Monitoring and ensuring clear, efficient and professional communication between team members and across the group
  • Liaising with notaries, lawyers and other service providers

What we expect
  • University or professional studies in law or equivalent qualifications
  • Minimum 7 years relevant experience in a legal and/or fund environment
  • Good understanding of the Luxembourg fund industry and its actors and a good knowledge of the main Luxembourg laws and regulations in that field
  • Prior experience in leading a team
  • You are fluent in English, French or German would be a plus
