What it's about

For this position, we are looking for an investment funds lawyer (Structuring Lead) for our Singapore office focusing on commingled fund structures and separate managed accounts / mandates for the Asia market.  Partners Group’s structuring team is responsible for developing innovative investment fund structures for institutional and private investors globally. Structuring professionals regularly interact with the firm’s client relationship management, investment and operations teams as well as with clients, external professionals and regulators.  Projects include, for example, the design, formation and negotiation of customized separate accounts, the establishment of fund vehicles (limited partnerships, corporate and unit trust structures), consideration of regulatory frameworks and participation in marketing meetings and meetings with various types of internal stakeholders.

 

Main Responsibilities:

 

  • Efficiently manage complex structuring projects, including the legal, regulatory, operational and project management aspects of each project;
  • Draft and / or supervise the drafting of term sheets, limited partnership agreements, articles of association, private placement memoranda, subscription agreements, side letters, service and other agreements for a variety of fund structures and associated products;
  • Lead the design, formation, negotiation and drafting of documentation relating to  customized separate accounts with a particular focus on the Asian market (including for  insurance companies, pension funds, sovereign investors, etc.);
  • Oversee marketing registrations in Asia (where relevant) and coordinating advice on local marketing requirements;
  • Research and develop customized segregated managed accounts, CFOs, CLOs, feeders, etc for various Asian markets tailored to local legislation and regulations;
  • Assume responsibility and ownership for select funds and separate managed accounts, including maintenance and related processes and procedures, again with a focus on Asian markets;
  • Develop general Partners Group know-how, particularly relating to Structuring Services catalogue;
  • Interface with Partners Group Structuring Services / data entry personnel and operational teams;
  • Research legal and regulatory considerations relevant to specific clients, products and jurisdictions, and have strong awareness of market standard fund terms across Asian jurisdictions;
  • Instruct and manage external legal advisors and other service providers.

 

What we expect
  • Common law qualified lawyer with 7+ years of relevant work experience at a top law firm, bank and/or asset manager (preferably focused on private markets investments);
  • Experience forming and advising on investment funds across multiple jurisdictions, with a preference for a candidate who also has experience working with Cayman Islands, Luxembourg, Delaware and/or Guernsey investment funds;
  • Experience working with and negotiating with institutional investors, including pension plans, insurance companies, sovereign wealth funds, endowments and banks;
  • Knowledge of marketing rules issued by the MAS and other Asian regulators relating to investment funds;
  • Understanding of AIFMD, MiFID and Solvency II in relation to investment funds would be very helpful;
  • Strong English language contract drafting skills;
  • Experience with different fund structures, securitized vehicles and other innovative structures preferable;
  • Self-motivated and proactive individual with strong desire to learn and succeed;
  • Excellent analytical, interpersonal and project management skills together with an ability to manage multiple projects at any one time;
  • Ability to effectively identify and communicate on complex issues and to proactively propose coherent and comprehensive solutions to both internal and external parties;
  • Knowledge of fund structures for private equity, private real estate, private debt and private infrastructure which may include limited partnerships, LLCs, corporate entities, trusts, REITs, rated note funds, etc.;
  • Able to consider varying tax considerations in determining appropriate fund structures;
  • Able to manage external counsel and meet ambitious closing timelines;
  • Proficient in reviewing and signing off on legal documents for and mentoring more junior professionals; and
  • Ability to work with and influence a successful sales team on new fund strategies.
